Introduction

Clicktech Retail Private Limited (hereinafter referred to as “Clicktech” or the “Company”) is incorporated under the Companies Act, 2013.

Clicktech is committed to making a positive impact on the communities in which it operates, striving to improve the lives of those around it. In line with this commitment, the Company undertakes Corporate Social Responsibility (CSR) activities in accordance with Section 135 of the Companies Act, 2013 (“the Act”) and the Companies (Corporate Social Responsibility Policy) Rules, 2014, as amended from time to time.

The Board of Directors of Clicktech has developed this CSR Policy to reflect the Company’s core values and objectives. This policy defines Clicktech’s role as a Responsible Corporate Citizen, with a strong commitment to driving positive change within the communities it serves.

Through its CSR initiatives, Clicktech aims to create lasting value, promote sustainable growth, and contribute to the well-being of society.

This policy also lays down guiding principles for selecting, implementing, and monitoring CSR projects or activities in accordance with Section 135 and Schedule VII of the Act, and other applicable laws.

Objective

The key objectives of this CSR Policy are to:

  • Define guiding principles for the selection, implementation, and monitoring of CSR projects and formulation of the Annual CSR Action Plan.

  • Establish a CSR framework in accordance with applicable laws to channelize Company and employee efforts toward CSR objectives.

  • Outline the Board’s vision and approach for undertaking CSR activities that create measurable social impact.

Policy Statement

Clicktech is dedicated to upholding the true essence of Corporate Social Responsibility and to maintaining the highest standards of corporate citizenship.

Our CSR mission is to grow as a socially and environmentally responsible organization guided by the belief in “enriching the lives of those around us.”

We aim to achieve this by delivering sustainable value to our customers, partners, shareholders, employees, host communities, and society as a whole.

Scope & Applicability

This CSR Policy applies to all CSR projects or activities undertaken by the Company in accordance with applicable laws.

The following activities are excluded from CSR expenditure:

  • Activities undertaken in the normal course of business.

  • Activities undertaken outside India (except training of Indian sports personnel representing India or any State/UT at national or international levels).

  • Activities undertaken exclusively for the benefit of Company employees (as defined under Section 2(k) of the Code on Wages, 2019).

  • Contributions to political parties under Section 182 of the Companies Act, 2013.

  • Sponsorship activities undertaken for marketing or brand promotion.

  • Activities carried out to fulfill statutory obligations under any law in force in India.

CSR Committee

In compliance with Section 135 of the Act, the Board has constituted a CSR Committee to ensure robust governance and effective monitoring of CSR projects.

The CSR Committee shall consist of such members as may be decided by the Board from time to time and shall meet as required to review and recommend CSR initiatives to the Board.

Key Focus Areas

Clicktech integrates CSR values with its business objectives and aligns all activities with Schedule VII of the Companies Act, 2013.

The Company’s CSR activities may include the following focus areas:

  • Eradicating hunger, poverty, and malnutrition, promoting healthcare and sanitation, and providing access to safe drinking water.

  • Promoting education, including special education and vocational skills for children, women, elderly, and differently-abled individuals.

  • Promoting gender equality and empowering women by setting up homes, hostels, daycare centers, and facilities for senior citizens and marginalized groups.

  • Ensuring environmental sustainability through conservation of natural resources, maintaining ecological balance, and improving the quality of air, soil, and water.

  • Protecting national heritage, art, and culture, including restoration of monuments and promotion of traditional art and handicrafts.

  • Supporting armed forces veterans and their dependents, including widows of defense and paramilitary personnel.

  • Promoting sports, including rural, nationally recognized, Paralympic, and Olympic sports.

  • Contributing to relief funds such as the PM CARES Fund and other government welfare initiatives.

  • Supporting research and innovation in science, technology, engineering, and medicine aimed at achieving sustainable development goals.

  • Rural development projects and slum area development.

  • Disaster management, including relief, rehabilitation, and reconstruction activities.

Governance & Review

The CSR Committee shall monitor project implementation, review annual action plans, and recommend CSR expenditure to the Board.

The Board shall ensure that the policy remains compliant with applicable laws and shall review it periodically for relevance and effectiveness.

Effective Date

This Corporate Social Responsibility (CSR) Policy is effective from March 11, 2025.
